Key Responsibilities

- Handle all company secretarial matters in compliance with the Companies Act, 2013, RBI guidelines, and other applicable laws.
- Ensure timely statutory filings with MCA, RBI, and other regulators.
- Advise on corporate governance practices and regulatory compliance applicable to banks and financial institutions.
- Liaise with regulators, auditors, consultants, and internal stakeholders on secretarial and governance matters.
- Maintain statutory registers, records, and trackers.
- Conducting board and shareholders meetings including preparing agenda in consultation with other functions, notice for the meetings and preparing minutes of the meetings.
- Any other work assigned by the Department Head and Management.
Knowledge, Skills & Experience
Special Skills Required
- Deep familiarity with RBI, the Companies Act, SEBI and applicable laws governing banking entities.
- Well-versed in handling secretarial matters and corporate governance issues.
- Good communication skills-written and verbal.
- Good drafting and presentation skills.
- Good research skills and ability to interpret governance regulations.
- Ability to provide end-to-end solutions within reasonable time.
- Good knowledge of banking products and wholesale banking-from secretarial and governance lens.
- Prior experience in a financial institution, bank, or law firm preferred.
Experience
- 5-10 years (for AVP role) of experience in the secretarial domain (mandatory) with exposure to banking/financial institution context.
Qualifications
CS qualified-must have worked in a CS team of a bank or financial institution
