Job Responsibilities

  1. Liaise and act as point of contact with internal and external parties and manage legal aspects of SPDA transactions.

 

  1. Review and negotiate deal-specific legal documentation (NDAs, mandate letters, term sheets, loan agreements, security documentation, legal opinions etc) on behalf of SPDA-SMBC to ensure that the Bank’s position is still preserved and internal requirements are adhered to while still managing commercial relationships together with RMs.

 

  1. Advise SPDA management regarding legal and regulatory matters and drive implementation of related initiatives.

 

  1. Liaise with various internal stakeholders to seek clearance for legal related matters.

 

  1. Review and update internal forms and documents (such as internal checksheets etc) and assist with creating or refining transaction management processes and/or procedures.

 

  1. Provide legal updates/training to raise legal awareness within SPDA.

 

  1. Any other projects, assignments and matters assigned by Team Head, Group Head or GMs.

 

Job Requirements

  1. Law degree holder from a commonwealth jurisdiction, with 4-6 years of experience in a law firm or in an inhouse position.

 

  1. Strong execution and transaction management experience, able to manage a transaction from inception to completion in a timely manner.

 

  1. Good knowledge and understanding of financial regulatory requirements such as Banking Act, Securities and Futures Act and its related notices/subsidiary legislation and ability to apply.

 

  1. Good judgement, problem solving and analytical skills.

 

  1. Team player and demonstrated ability to work across all levels of the organization, with good interpersonal and communication skills.

 

  1. Proactive, independent and resourceful.

 

  1. Able to work under time constraints and pressure.
